1. About these terms

These Terms and Conditions ("Terms") govern your access to and use of the Maker/OS platform, website, and related services (collectively, the "Services") provided by Maker/OS OÜ ("Maker/OS", "we", "us", or "our"), a company incorporated under the laws of the Republic of Estonia, with its registered address at Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia.

Please read these Terms carefully before using the Services. By creating an account, accessing the Services, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, you must not use the Services.

These Terms form a legally binding agreement between you and Maker/OS OÜ. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. Eligibility

You must be at least 18 years of age to use the Services. By agreeing to these Terms, you represent and warrant that you meet this requirement.

If you are using the Services on behalf of a business, you further represent that the business is validly established and that you are authorised to bind it to these Terms.

3. Account registration

To access most features of the Services, you must register for an account. When registering, you agree to:

  • provide accurate, current, and complete information
  • maintain and promptly update your account information
  • keep your password secure and confidential
  • notify us immediately of any unauthorised use of your account

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts where we have reason to believe that registration information is false, inaccurate, or incomplete.

4. The Services

Maker/OS provides an online learning platform designed to help entrepreneurs and makers build and grow digital businesses. The Services may include course content, video lessons, worksheets, community features, live sessions, and other educational resources.

We reserve the right to modify, update, suspend, or discontinue any aspect of the Services at any time, with or without notice, though we will make reasonable efforts to notify you of material changes that affect your access to paid content.

5. Subscriptions and payment

5.1 Pricing and plans

Access to certain parts of the Services requires a paid subscription or one-off purchase. Current pricing, plan details, and what is included are set out on our website. We reserve the right to change our prices at any time, with changes taking effect at your next renewal date following reasonable notice.

5.2 Billing

By providing payment details, you authorise us (or our payment processor) to charge the applicable fees to your chosen payment method. All fees are quoted inclusive of VAT where applicable.

5.3 Renewals

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can manage or cancel your subscription from within your account settings.

5.4 Refunds

We offer a 14-day money-back guarantee on first-time purchases of any paid plan. If you are not satisfied within the first 14 days of a new subscription, contact us at support@makeros.academy and we will issue a full refund. After this period, fees are non-refundable except where required by applicable law.

5.5 Taxes

You are responsible for any taxes applicable to your purchase beyond those we are required to collect and remit.

6. Intellectual property

6.1 Our content

All content on the Services — including course materials, videos, text, graphics, logos, software, and underlying technology — is owned by or licensed to Maker/OS OÜ and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any rights in our intellectual property beyond the limited licence set out below.

6.2 Licence to use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services and their content for your own personal, non-commercial learning purposes, subject to these Terms. You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from the Services without our prior written consent

6.3 Your content

Where you submit or post content to the Services (such as discussion posts, assignments, or feedback), you retain ownership of that content. By submitting it, you grant us a worldwide, royalty-free, non-exclusive licence to use, store, display, and reproduce that content solely for the purpose of operating and improving the Services. You represent that you own or have the necessary rights to grant this licence, and that your content does not infringe any third party's rights.

6.4 Feedback

If you provide suggestions, feedback, or ideas about the Services, we may use them without any obligation to you.

7. Acceptable use

You agree not to use the Services to:

  • violate any applicable law or regulation
  • infringe the intellectual property rights of Maker/OS or any third party
  • share, resell, or sublicense access to course content or your account credentials
  • scrape, copy, or redistribute course content by any automated or manual means
  • upload or transmit any content that is unlawful, defamatory, offensive, or harmful
  • upload or transmit any content that is unlawful, defamatory, offensive, or harmful
  • attempt to gain unauthorised access to any part of the Services or related systems
  • interfere with the integrity or performance of the Services
  • use the Services for commercial training, resale, or redistribution without our written permission

We reserve the right to suspend or terminate your access if you breach this clause.

8. Third-party services

The Services may integrate with or contain links to third-party tools, platforms, or websites. These are provided for convenience and we do not endorse or take responsibility for their content, privacy practices, or availability. Your use of third-party services is subject to their own terms and conditions.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Educational content on the platform reflects general information and does not constitute professional financial, legal, or business advice.

10. Limitation of liability

To the fullest extent permitted by applicable law, Maker/OS OÜ and its officers, directors, employees, and agents will not be liable to you for:

  • any indirect, incidental, special, consequential, or punitive damages
  • loss of profits, revenue, data, goodwill, or business opportunities
  • damages arising from your reliance on content obtained through the Services

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Maker/OS OÜ and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your breach of these Terms; or (c) any content you submit to the Services.

12. Term and termination

These Terms remain in effect for as long as you use the Services or hold an active account.

You may terminate your account at any time by contacting us at support@makeros.academy or through your account settings. Termination does not entitle you to a refund except as set out in Section 5.4.

We may suspend or terminate your access at any time if you breach these Terms, if we are required to do so by law, or if we cease to operate the Services. On termination, your licence to use the Services ends immediately.

Clauses that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will do so.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice within the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services before they take effect.

14. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia.

If a dispute arises in connection with these Terms or the Services, we encourage you to contact us first at support@makeros.academy so we can try to resolve it informally.

If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of Harju County, Estonia, unless mandatory consumer protection laws in your country of residence require otherwise.

If you are a consumer resident in the European Union, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Severability and waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16. Entire agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Maker/OS OÜ in relation to the Services and supersede all prior agreements and understandings.
